Company Introduction 深圳赤湾港航股份有限公司是一家从事集装箱、散杂货码头及港口配套业务的开发建设和经营管理的企业.公司主营业务为集装箱和散杂货的港口装卸、仓储、运输及其它配套服务.2010年公司全年完成集装箱吞吐量同比增加29.0%,增速在深圳三大集装箱港口中领先,占深圳港集装箱码头业务市场份额的27.2%。2017年11月以来，公司启动重大资产重组，通过发行股份购买资产的方式收购招商局港口控股有限公司（0144.HK）（以下简称“招商局港口”）的控股权。2018年10月31日，公司收到中国证券监督管理委员会核发的《关于核准深圳赤湾港航股份有限公司向ChinaMerchantsInvestmentDevelopmentCompanyLimited发行股份购买资产并募集配套资金的批复》（证监许可[2018]1750号）。本次重大资产重组实施后，公司将建设成为招商局集团有限公司（以下简称“招商局集团”）港口业务板块总部，成为港口资产一级资本运作和管理平台，发挥统一归集、统一整合招商局集团旗下港口资产的重要作用，业务发展、战略定位将得到极大提升。通过本次重大资产重组，公司总资产规模将从不足百亿增长至超过1100亿元，归母净资产增长四倍以上，净利润增长六倍以上，公司将从原来的深圳西部港区赤湾港运营商一跃成为全球领先的港口开发、投资和营运商，所投资或投资并拥有管理权的码头遍及全球六大洲，成为招商局集团践行和落实国家“一带一路”重大倡议和建设“粤港澳大湾区”战略的重要实施主体。本次重大资产重组完成后，为充分适应未来战略定位的调整及实际发展需求，使得公司的战略发展能够更好地传承“招商血脉”，发展全球港口业务，服务于国家“一带一路”重大倡议及“粤港澳大湾区”战略，更加直观地体现上市公司股票与招商局集团祖业及主业的紧密联系，同时使得投资者对重组后上市公司有更为清晰和准确的认识，更好地向市场传递信息，公司拟申请将公司名称由“深圳赤湾港航股份有限公司”变更为“招商局港口集团股份有限公司”（以工商行政主管部门最终核准的名称为准）、英文名称拟由“ShenzhenChiwanWharfHoldingsLimited.”变更为“ChinaMerchantsPortGroupCo.,Ltd.”，证券简称拟由“深赤湾A/深赤湾B”变更为“招商港口/招港B”，英文简称拟由“CHIWANWHARF/CHIWANWHARF-B”变更为“CMPORTGROUP/CMPORTGROUPB”，证券代码拟由“000022/200022”变更为“001872/201872”。
