Company Introduction 公司是在哈尔滨三联药业有限公司基础上依法整体变更设立的股份有限公司。经三联有限于2013年12月23日召开的股东会决议通过，三联有限整体变更为股份有限公司，以截至2013年11月30日经审计净资产35,557.48万元中的15,000万元折合为股份公司股本15,000万股，净资产的其余部分计入资本公积，变更后的注册资本为15,000万元。上海东洲资产评估有限公司对三联有限截至2013年11月30日的净资产进行了评估，并出具了沪东洲资评报字[2013]第0935231号《哈尔滨三联药业有限公司拟整体变更为股份有限公司项目评估报告》，于评估基准日，三联有限净资产的评估值为43,885.07万元。2013年12月27日，三联药业在哈尔滨市工商行政管理局登记注册成立，领取了注册号为230100400002133号的《企业法人营业执照》。经公司2014年4月18日召开的第一次临时股东大会决议同意，中融泰山、中合供销、中瑞国信和慧远投资分别以5,400万元、1,800万元、1,560万元和1,200万元现金对公司增资450万股、150万股、130万股和100万股，增资价格为12元/股。同日，公司分别与中融泰山、中合供销、中瑞国信和慧远投资签署了《增资扩股协议》。增资完成后，公司注册资本变更为15,830万元。 公司经营范围是按药品生产许可证核定范围开展经营活动（药品生产许可证有效期至2020年12月31日）；五层共挤膜输液用袋，聚丙烯输液瓶；药品技术开发，技术检测服务；生产医疗器械（含微生物培养基）。（依法须经批准的项目，经相关部门批准后方可开展经营活动。） 公司秉承―哈三联，为您服务‖的宗旨，专业从事化学药品制剂的研发、生产和销售，产品的适应症范围包括神经系统类、心脑血管类、肌肉骨骼类、全身抗感染类、抗肿瘤类、以及调节水、电解质及酸碱平衡、补充营养等医疗领域，主要产品为奥拉西坦注射液、丙氨酰谷氨酰胺注射液、注射用脑蛋白水解物、注射用盐酸川芎嗪、注射用骨肽、注射用炎琥宁、米氮平片、缬沙坦分散片、葡萄糖注射液、氯化钠注射液和复方氨基酸注射液等药品。
