Company Introduction 发行人的前身是2002年4月19日设立的广东万里马投资实业有限公司。2014年8月28日，全体发起人召开了股份公司创立大会，并签署了《广东万里马实业股份有限公司创立大会决议》，一致同意万里马有限整体变更为广东万里马实业股份有限公司。2014年11月24日，发行人在东莞市工商局完成变更注册登记并领取了营业执照。发行人控股股东、实际控制人为林大耀、林大洲、林彩虹、林大权。 公司主营业务为皮具产品和个体防护产品的研发设计、生产制造、品牌运营及市场销售业务。同时，公司采取ODM的模式，为国际知名企业生产手袋等产品；通过控股子公司超琦科技为母婴产品、户外运动产品等品牌商提供电商平台旗舰店运营管理、物流管理、代理经销等综合服务；通过控股子公司宇岛科技在抖音平台网上销售资生堂旗下欧珀莱/AUPRES、Jurlique/茱莉蔻等产品。公司经营的产品按用途及渠道主要分为团购产品和时尚消费品类两大类；按用户客群分为民品和军警、公安装备产品；按品牌分为“万里马”、“SaintJack”、“COOME”3个自有品牌产品，产品类别主要包括手袋、钱包、拉杆箱、皮鞋和皮带，同时，公司不断丰富产品线，搭配各式时尚精品小配饰，如眼镜、丝巾、钥匙扣等，目前，公司已经初步形成了三个自有品牌和多个代理品牌的“3+N”多品牌格局。自有品牌分别是主张“精品设计、精致时尚”的“万里马”，主张“英伦风尚、华彩人生”的“SAINTJACK”，以及主张“趣享缤纷、个性自我”的“COOME”。各品牌以不同的用料、设计、款式和色彩来表现不同的主题风格，再按照产品的风格、市场定位、价格等因素多层级覆盖目标客群，从而满足各个细分市场的差异化需求。同时，公司还不断加强与国外知名品牌的合作，通过超琦科技和宇岛科技代理多个世界知名品牌，超琦科技签约的户外运动品牌包括：ONRunning、FREITAG等；签约的母婴品牌包括MICRO/米高、RadioFlyer等；宇岛科技签约了AUPRES/欧珀莱、Jurlique/茱莉蔻等品牌。公司在聚焦团购产品的同时和时尚消费品双向发力，围绕品质升级打造关键性竞争能力。团购产品客户群体较为稳定，主要分为军警系统、国家权力机关及其分支机构、国有大中型企业等三大类团购客户，业务规模占比较大。时尚品类主要通过直营渠道、电商渠道及代理加盟渠道面向终端零售开拓市场。
