Company Introduction 发行人前身联合光电有限成立于2005年8月18日，由SUN ENTERPRISE ADVISORY, INC.（注册地：英属维尔京群岛）独资设立。设立时公司注册资本60万美元，资金来源于SUN公司的自有资金，SUN公司该笔出资系龚俊强向其境外朋友的借款，资金来源合法。2005年8月3日，中山市对外贸易经济合作局以《关于外资企业中山联合光电科技有限公司项目的批复》（中外经贸资字【2005】854号）批复了联合光电有限的设立；2005年8月4日，广东省人民政府核发《中华人民共和国外商投资企业批准证书》（商外资粤中外资证字【2005】0223号）。2014年11月29日，联合光电有限召开董事会，通过了关于联合光电有限整体变更设立股份公司的决议。公司原股东作为发起人于2014年12月14日共同签署了发起人协议。联合光电有限以截至2014年10月31日经信永中和会计师事务所（特殊普通合伙）审计（XYZH/2013SZA2037-2号《审计报告》）的账面净资产205,127,179.18元为基础，按照3.418787:1的比例折为股份公司股份（其中，60,000,000元作为股份公司注册资本，其余145,127,179.18元作为股本溢价计入资本公积）60,000,000股，每股面值为人民币1元。 本公司致力于为市场提供高端光学镜头产品及其应用解决方案，专业从事光学镜头及镜头相关光电器件的研发、设计、生产和销售。本公司作为高新技术企业，始终走在中国光学镜头制造行业的前列。经过持续多年的潜心钻研和开发投入，公司在光学镜头系统设计及精密制造技术方面积累了丰富的经验，形成了集光学镜头设计开发、精密制造、销售与技术服务为一体的独立、完整业务体系。目前，公司已成为海康威视、大华股份、宇视科技、华为、欧菲光、比亚迪、罗技、DXO、AXIS、Cognex、松下、日立、爱普生、索尼等核心客户的重要合作伙伴。本公司具备良好的成长性。近三年本公司营业收入和净利润的年复合增长率为29.65%和47.14%。 作为一家科技型企业，公司始终高度重视技术创新，密切关注科技前沿发展并对技术领域保持敏锐洞察，坚持以市场为导向，引领公司技术创新与产品研发，积极抢占科技制高点，用核心技术打造核心竞争力。近年来，公司始终保持着较高的研发投入，加速推进新技术、新工艺、新产品开发与应用领域拓展工作，并着力于行业“卡脖子”技术突破。 在近二十年的不断发展与沉淀中，公司逐步建立了较为完善的研发管理制度和持续创新激励机制，公司的研发投入以及技术创新能力在行业保持领先水平，公司产品在光学变焦、自动对焦、光学防抖、非球面镜片、黑光全彩、超短焦光学镜头技术领域拥有多项独立核心技术，达到国内领先、国际一流的先进水平。同时，公司积极加强与高等院校、科研机构的联合协作，着力推进科技项目建设、创新平台建设、产学研合作开发，不断推进企业技术创新和科研成果的转化。
