| Company Introduction | 发行人设立情况： 发行人前身是2011年12月14日设立的安徽中环环保科技有限公司。2015年4月17日，张伯中等全体发起人召开股份公司创立大会，一致同意中环有限整体变更为安徽中环环保科技股份有限公司。根据华普天健出具的会专字[2015]2083号《审计报告》，中环有限以截至2015年2月28日经审计的净资产6,318.46万元为基数折为股本5,000万元，整体变更为股份有限公司。2015年4月29日，发行人在合肥市工商行政管理局完成了变更注册登记并领取了营业执照。发行人的控股股东、实际控制人为张伯中。 发行人主营业务： 发行人主要从事污水处理业务及环境工程业务。其中污水处理业务主要为通过BOT、TOT等方式开展特许经营权运营业务，以自筹资金投资运营污水处理厂或通过受托运营方式取得已有污水处理厂的经营权，在运营期限内运营污水处理设施并收取污水处理费用。环境工程业务主要为按照协议约定提供污水处理相关环境工程设计、工程施工、设备采购及集成、安装调试、试运行等阶段的服务。 发行人掌握了包括城市污水精密脱氮除磷高效降解有机物工艺技术、印染废水处理工艺技术、纺织印染工业废水异味气体处理工艺技术、电池生产线废水的中水回用一体化工艺技术等核心技术。发行人积极探索多种合作途径来强化技术优势，子公司宜源环保与安徽省科技厅、安庆市科技局签订《安徽省科技攻关项目任务书》，作为项目主持单位以产学研的形式与合肥工业大学进行合作，完成“纺织印染废水异味气体处理技术与装置研究”项目，并在2015年4月由安徽省科技厅完成验收。发行人取得了安徽省环境保护产业协会颁发的包括“安徽省环保产业优秀企业”、“安徽省环保产业骨干企业”、“安徽省十佳环境污染治理企业”等各项荣誉称号。作为一家民营污水处理企业，发行人经过快速稳定发展，已经在市政及工业园区的污水处理相关领域取得了长足的发展。 2015年4月17日，张伯中、中辰投资及中冠投资全体发起人召开了股份公司创立大会，一致同意中环有限整体变更为安徽中环环保科技股份有限公司。根据华普天健出具的会专字[2015]第2083号《审计报告》，中环有限以截至2015年2月28日经审计的净资产6,318.46万元为基数折为股本5,000万元，每股面值1元人民币，其余1,318.46万元作为股本溢价计入资本公积。2015年4月15日，华普天健出具会验字[2015]2333号《验资报告》对上述出资进行了验证。2015年4月29日，公司在合肥市工商行政管理局完成工商变更登记手续，注册资本为5,000万元。 | ||||||||||||||||||||||||
