Company Introduction 公司系由宁波润禾高新材料科技有限公司整体变更设立的股份有限公司。2015年11月13日，润禾有限召开股东会，同意公司整体变更设立为股份有限公司，根据华普天健会计师出具的《审计报告》（会审字[2015]3791号），并参考中水致远评估出具的《资产评估报告》（中水致远评报字[2015]第2518号），以2015年9月30日经审计的净资产165,870,074.52元扣除专项储备7,907,611.18元后，按1:0.43048的折股比例折为6,800万股，折股溢价89,962,463.34元计入资本公积，改制前后各股东持股比例不变。2015年12月18日，公司取得宁波市市场监督管理局核发的统一社会信用代码为91330226725159588E的《企业法人营业执照》，注册资本为6,800万元。 公司系专业从事有机硅深加工产品及纺织印染助剂产品研发、生产和销售的国家级高新技术企业。此外，公司还少量兼营硅橡胶、硅树脂等其他有机硅深加工产品，以及前处理助剂、染色印花助剂等其他纺织印染助剂。经营范围为有机硅新材料、纺织、印染助剂的研发、制造、加工，自产产品的销售；道路货物运输；自营和代理各类货物和技术的进出口；但国家限定经营或禁止进出口的货物和技术除外。主营业务为有机硅深加工产品及纺织印染助剂产品研发、生产和销售。 公司拥有一支稳定的由国际复合型有机硅人才为科研领头人、以博士研究生、硕士研究生和本科学历等中高级专业技术人才为骨干的研发人才队伍，已形成了“一体两翼”的研发基地布局，即以总部润禾研究院为主体，按照公司发展战略做好研发产品、研发投入规划并组织实施，德清润禾有机硅新材料省级企业研究院和宁海润禾环保型织物整理剂省级高新技术企业研发中心为两翼，按照各自专业方向，始终紧密围绕“市场和客户需求”开展具体科研创新。其中，浙江润禾有机硅新材料研究院先后被授予“湖州市市级企业研究中心”和“省级企业研究院”称号。 公司本部及生产型全资子公司德清润禾均为高新技术企业，公司先后获得“浙江省科技型企业”、“国家知识产权优势企业”、“宁波市专利示范企业”、“湖州市专利示范企业”、“中国氟硅行业新锐企业”、“湖州市四星级绿色工厂”等荣誉，生产开发的产品多次获得“浙江省科学技术成果奖”、“湖州市科学技术进步奖”、“中国纺织工业联合会科学技术进步奖”、“中国氟硅行业创新奖”等奖项。公司累计已取得了多项研发成果，截至目前，公司拥有46项专利，其中发明专利39项，实用新型专利7项，另有10项发明专利正在审核中。 公司为进一步推进提高研发工作的水平与层次，实现强强联合、优势互补，公司陆续与浙江大学、浙江工业大学、杭州师范大学、东华大学、山东大学等专业院校与机构开展了广泛深入的产学研合作；公司完成设立省级博士后科研工作站，进一步激发了公司科研团队的活力，助推公司科创驱动高质量发展。
