Company Introduction 2007年11月7日，矩子有限成立。矩子有限成立时认缴注册资本为人民币100万元，实缴注册资本为人民币50万元，由杨勇、徐亦新、张泊扬、徐晨明、何丽、李俊和蔡卡敦共同出资设立。根据上海光大会计师事务所有限公司出具的沪光大会验（2007）第301034号《验资报告》，截至2007年10月26日止，矩子有限已收到全体股东缴纳的注册资本合计人民币50万元，均以货币出资，本次出资为首次出资。2007年11月7日，矩子有限在上海市工商行政管理局闵行分局办理设立登记手续，取得注册号为310112000792811的《企业法人营业执照》。公司系由矩子有限整体变更设立的股份有限公司。2015年12月4日，杨勇等12名发起人股东签署了《上海矩子科技股份有限公司发起人协议》并召开股东会，决定将矩子有限由有限公司整体变更为股份有限公司，以经信永中和会计师事务所（特殊普通合伙）审计的截至2015年9月30日的账面净资产176,806,943.51元为基础，按照2.35742591346:1的比例折合股份总额7,500万股，整体变更为股份有限公司。公司于2015年12月30日在上海市工商行政管理局登记并领取统一社会信用代码为91310000667825748L的《营业执照》。 公司主营业务为智能设备及组件的研发、生产和销售，主要产品包括机器视觉设备、控制线缆组件、控制单元及设备。产品主要应用于电子信息制造、工业控制、金融电子、新能源、食品与包装、汽车等多个国民经济重要领域。公司坚持以技术研发和产品性能为核心竞争能力，主要产品具有自主知识产权和自主品牌，已成功实现进口替代或远销海外，部分产品为国内突破性的高端智能装备，有利于“中国制造2025”强国战略的实现，对国家产业转型升级、制造业提质增效和智能制造起到了重要的促进作用。公司大力进行研发投入和储备，报告期内研发费用占收入的比重平均约7%。通过长期自主创新、自主研发，公司在图像处理算法、光电成像系统等软、硬件方面具有较强优势，在整机电子装联技术方面具有丰富经验。截至2019年6月30日，公司拥有43项软件著作权、50项专利，并拥有软板光学检测、半导体封装自动光学检测、三维锡膏检测、药品光学检测等丰富的新技术、新产品储备。公司拥有众多国内外优质客户，包括和硕集团、光弘集团等大型电子设备制造商，NCR集团、Diebold集团等全球领先的金融设备制造商，UltraClean集团等知名半导体设备制造商。近年来，在国家信息化与工业化深度融合、产业转型升级的趋势下，受益于人工智能、智能制造的持续快速推进，公司取得了稳步、持续发展。 主要产品情况1、机器视觉设备机器视觉设备是通过光学的装置和非接触的传感器自动地接受和处理一个真实物体的图像，通过分析图像获得所需信息或用于控制机器运动的装置2，该设备将人类最强大、最复杂的视觉感官赋予机器，将计算机的快速性、可重复性，与人眼视觉的高度智能化和抽象能力相结合，是能够代替人眼的智能设备。公司自设立之初就以机器视觉设备为核心发展方向，产品拥有自主知识产权和自主品牌，其检测速度、检测精度、检出率、漏失率、误判率等关键技术水平处于领先地位，可以与部分国际知名品牌竞争，已成功实现进口替代。目前公司已成为苹果、华为、小米、OPPO、VIVO等知名企业或其代工厂商的重要机器视觉设备供应商。公司机器视觉设备主要包括自动光学检测设备（AutomaticOpticInspection，简称AOI）和机器视觉生产设备。该产品的核心是公司自主研发设计并拥有自主知识产权的软件算法、光学设计以及软硬件相结合的机器视觉系统。公司自主研发的LED行业AOI为2018年度上海市高端智能装备首台突破专项项目，属于突破性的高端智能装备，产品技术领先性及独创性获得认可，有利于提高我国装备制造业高端化、智能化、自主化水平。
