Company Introduction 申能股份有限公司前身为创立于1987年的申能电力开发公司，1993年4月公司股票上市（股票代码600642，简称“申能股份”），为全国电力能源行业第一家上市公司。公司主要从事电力、石油天然气的开发、投资、建设和运营业务，为综合性能源供应商。2022年末，公司拥有全资和控股企业26家，员工近2200人；公司总资产899亿元，净资产382亿元，当年实现归母净利润10.82亿元。 公司电力项目涉及燃煤发电、天然气发电、抽水蓄能、核电、风电及光伏发电等领域。截至2022年底，权益装机容量1631万千瓦，非化石能源占比35%；年发电量537.4亿千瓦时，上海控股电厂发电量约占本地总发电量的三分之一。 公司注重发挥上市公司平台作用，有效进行资源整合及配置，树立了良好的市场形象。上市以来，公司进行了多次影响较大、意义深远的金融创新和资本运作：作为电力类上市公司第一批入选上证180、沪深300以及上证红利指数样本股，2019年入选富时罗素概念指数，2021年入选中证碳中和60指数；公司也是第一家高比例配股、国有股回购企业，第二批股权分置改革试点单位及股改后第一家再融资的企业。 1993年，公司成功实施完成了国有股定向转让给社会公众股东的方案，成为全国第一家国家股定向转让给社会公众股的上市公司； 1996年，公司实施了向全体股东10配8的配股方案； 1999年，公司向申能集团定向协议回购10亿股国家股，成为中国证券市场第一例国家股定向回购案例； 2002年，公司实施增发1.6亿股A股，超额认购倍率达到7.46倍； 2005年，公司作为第二批股改试点企业，顺利完成股权分置改革； 2006年，公司实施了增发2亿股A股，成为股改后首家推出公募再融资的上市公司； 2010年，公司公开增发3.5亿股A股，创年内主板公开增发中签率的新低； 2013年，公司从二级市场回购1.77亿股A股； 2019年，公司向申能集团定向增发3.6亿股。 公司注重投资者权益维护，坚持每年现金分红，上市以来累计分配现金红利达205.51亿元人民币，占可供分配净利润的47.97%。
