Company Introduction 经河北省人民政府2008年2月28日《关于同意秦皇岛港务集团有限公司重组上市方案的批复》（冀政函[2008]15号）批准，秦港集团作为主发起人，以与港口业务相关的资产及部分现金作为出资，联合其他9家以现金出资的发起人，共同发起设立本公司。中企华资产评估公司以2007年6月30日为评估基准日，对秦港集团出资投入本公司的资产进行了评估，并出具了《秦皇岛港务集团有限公司拟发起设立股份公司项目资产评估报告书》（中企华评报字[2008]025号）。根据前述评估报告，秦港集团出资投入本公司的评估后资产价值为1,287,588.07万元，负债为748,430.95万元，资产净值为539,157.13万元。前述评估结果已经河北省国资委2008年3月5日以《关于秦皇岛港务集团有限公司拟发起设立股份公司项目资产评估核准的意见》（冀国资发产权股权[2008]16号）予以核准确认。2008年3月26日，河北省国资委下发《关于秦皇岛港股份有限公司国有股权管理有关问题的批复》（冀国资发产权股权[2008]27号），批准由秦港集团作为主发起人，联合秦皇岛市工业公司、河北省交投、大秦铁路、中国海运、国寿投资、首钢总公司、北控集团、同煤集团及河北省国控共9家其他发起人，共同发起设立本公司。本公司设立时总股本为4,275,000,000股（每股面值1.00元），注册资本为427,500万元，未折入股本的224,086.97万元记入本公司的资本公积。各发起人的出资按照65.609047%的比例折合为本公司股份，本公司于2008年3月30日召开创立大会，并于2008年3月31日在河北省工商局登记注册，领取了《企业法人营业执照》（注册号：130000000019419）。
