| Company Introduction | 中国外运系由对外贸易运输总公司独家发起设立的股份有限公司。对外贸易运输总公司以其与货代、船代、快件、仓储码头、水运、汽运有关业务的股权或相关经营性资产及负债注入中国外运。注入中国外运的资产范围主要包括对外贸易运输总公司分布在广东省、福建省、上海市、浙江省、江苏省、湖北省、山东省、天津市和辽宁省等地的企业，以及对外贸易运输总公司所属的中外运国际联运代理公司和中国船务代理公司等专业子公司，以及对外贸易运输总公司持有的外运发展70.36%的股权。 2002年10月23日，中国外运取得国家工商行政管理总局颁发的《企业名称预先核准通知书》（（国）名称预核内字[2002]第691号），核准名称是“中国外运股份有限公司”。 中国外运以换股方式吸收合并外运发展，即中国外运向外运发展除中国外运以外的所有股东发行中国外运A股股票交换其所持有的外运发展股票。中国外运所持有的外运发展股票不参与换股且不行使现金选择权，该等股票将在本次换股吸收合并后予以注销。本次换股吸收合并完成后，中国外运作为存续公司，将通过接收方承继及承接外运发展的全部资产、负债、业务、合同、资质、人员及其他一切权利与义务，外运发展终止上市并注销法人资格。中国外运为本次换股吸收合并发行的A股股票将申请在上交所上市流通。 中国外运是具有领先地位的综合物流供应商，主营业务包括货运代理、专业物流、仓储与码头服务、物流设备租赁和其他服务。 | ||||||||||||||||||||||||
