　　中海油田服务股份有限公司(“本公司”)经国家经济贸易委员会于2002年9月20日以国经贸企改[2002]694号文批复同意由中国海洋石油总公司(“海油总公司”)发起设立，注册资本为人民币260,000万元，于本公司设立日由海油总公司以自身或通过其下属企业持有相关公司的股权于重组基准日即2002年4月30日经评估后的净资产折合成本公司的境内国有法人股计人民币260,000万元及资本公积人民币135,665.43万元作为出资。本公司于2002年9月26日在中华人民共和国注册成立为股份有限公司。经营范围主要为：为石油、天然气及其他地质矿产的勘察、勘探、钻井、开发及开采提供服务及提供船舶服务。本公司的注册地址为中国天津塘沽海洋高新技术开发区河北路3-1516号。　　根据中国证券监督管理委员会2002年10月11日签发的证监发行字[2002]30号文批复，本公司于2002年11月向全球公开发行每股面值人民币1元的境外上市外资股普通股，发行数量为1,395,320,000股，发行价格为每股港币1.68元。另外减持国有股出售存量139,532,000股，出售价格亦为每股港币1.68元。全部境外上市外资股均以港币现金认购，并于2002年11月20日在香港联合交易所挂牌交易。本公司注册资本由此变更为人民币3,995,320,000元，股本为人民币3,995,320,000元，每股面值人民币1元，其中国有发起人海油总公司持有国有法人股2,460,468,000股，境外上市外资股1,534,852,000股。　　根据中国证券监督管理委员会于2007年9月11日签发的证监发行字[2007]284号文核准，本公司获准首次公开发行500,000,000股A股普通股(“普通股”)，并于2007年9月28日在上海证券交易所挂牌交易。在公开发行普通股后，本公司注册资本变更为人民币4,495,320,000元，股本为人民币4,495,320,000元，每股面值人民币1元。　　2009年9月，根据中华人民共和国财政部等机构联合发布的《境内证券市场转持部分国有股充实全国社会保障基金实施办法》等相关文件，海油总公司将其所持本公司股份中的50,000,000股股份划转到全国社会保障基金理事会。上述转持后，本公司股东中包括由海油总公司持有的国有法人股2,410,468,000股，由全国社会保障基金理事会持有的国有法人股50,000,000股，境外上市外资股1,534,852,000股及境内上市普通股500,000,000股。　　2014年1月15日，本公司按配售价21.3港元/股向承配人配发及发行新境外上市外资股共计276,272,000股。经配售后，本公司注册资本变更为人民币4,771,592,000元，股本为人民币4,771,592,000元，每股面值人民币1元。　　2015年，海油总公司多次增持本公司股份，累计增持公司股份381,300股。截至2015年12月31日，海油总公司直接持有公司股份2,410,849,300股，约占公司股本总额的50.53%。
