Company Introduction 公司是经中宣部于2010年5月27日出具的中宣办发函〔2010〕219号文和2010年12月30日出具的中宣办发函〔2010〕651号文、财政部于2010年6月12日出具的《关于中国出版集团公司整体重组改制并上市的批复》（财教〔2010〕162号）、新闻出版总署于2011年1月18日出具的《关于同意中国出版集团公司整体重组改制并上市的批复》（新出审字〔2011〕43号）、财政部于2011年12月14日出具的《关于中国出版传媒股份有限公司（筹）设立方案及国有股权管理方案有关问题的通知》（财文资函〔2011〕12号）批准，由出版集团以其出版、发行相关资产出资，与中国联通、文化产业基金和学习出版社共同发起设立。根据《发起人协议》及财政部于2011年12月14日出具的《关于中国出版传媒股份有限公司（筹）设立方案及国有股权管理方案有关问题的通知》（财文资函〔2011〕12号），出版集团联合中国联通、文化产业基金和学习出版社共同发起设立中国出版传媒股份有限公司。各股东以货币、资产出资合计198,302.9388万元，按65.455409%的比例折为股本，折股后股份公司总股本为129,800万股。其中出版集团持有126,549.4459万股，占公司总股本的97.50%；中国联通持有1,298万股，占公司总股本的1.00%；文化产业基金持有1,298万股，占公司总股本的1.00%；学习出版社持有654.5541万股，占公司总股本的0.50%。2011年12月19日，公司经工商总局核准成立，并取得注册号为100000000044093的《企业法人营业执照》。本公司以图书、报刊、电子音像等出版物出版为主业，是集出版、发行、物资供应、印刷等业务于一体的大型出版企业。
