Company Introduction 2011年12月28日，丽岛有限股东会作出决议，同意丽岛有限整体变更为股份有限公司，同日丽岛有限全体股东签署《发起人协议》。2012年1月15日，公司召开创立大会，常州市丽岛金属材料制造有限公司以2011年12月21日安永华明会计师事务所出具的“安永华明（2011）专字第60906704_B04号”《审计报告》审定的2011年11月30日公司净资产34,072.35万元进行整体变更，其中9,000万元折为公司股份9,000万股，每股面值1.00元，其余25,072.35万元计入资本公积。2012年1月16日，安永华明会计师事务所出具“安永华明（2012）验字第60906704_B01号”《验资报告》，验证公司发起设立时的注册资本已由各发起人足额缴纳。 2012年2月1日，公司在江苏省常州工商行政管理局完成注册登记变更，并领取了注册号为320400000016169的《企业法人营业执照》，注册资本9,000万元，法定代表人为蔡征国。 公司主要产品为彩色涂层铝材及精整切割铝材产品，产品泛用于建筑、食品、工业等国民经济各个领域，其中建筑领域占比较大，与宏观经济运行状况和全社会固定资产投资规模密切相关，宏观经济和全社会固定资产投资规模波动对本公司主要产品的价格和需求有较大影响，进而影响公司收益。 目前，国内铝材加工行业与国际市场已基本接轨，其变动趋势与国际市场的变动趋于一致，世界经济的周期性波动对于国内铝材加工行业发展的影响越来越突出。 公司由丽岛有限整体变更设立，完整承继了丽岛有限的全部资产、负债和业务，拥有从事功能型彩色涂层铝材和精整切割铝材生产所需的完整生产设备、厂房土地及相关无形资产，具备完整的研发、采购、生产、销售系统及配套设施。整体变更设立股份公司前后，公司所拥有的主要资产和从事的主要业务均未发生重大变化。
