Company Introduction 公司前身上海魁春实业有限公司由自然人何兴成、王牧共同出资设立，设立时注册资本50.00万元。1997年9月9日，经上海市松江县工商行政管理局核准，魁春实业领取了注册号为3102272019816的《企业法人营业执照》。2016年上海魁春实业有限公司更名为“品渥食品有限公司”。2017年8月31日，品渥有限召开股东会，决议根据立信会计师事务所（特殊普通合伙）出具的信会师报字[2017]第ZA15835号《审计报告》，将品渥有限截至2017年4月30日经审计的净资产94,134,034.99元按照1：0.7967363的比例折为发行人股本总额75,000,000.00元，各发起人按照在品渥有限的出资比例持有相应数额的股份，剩余净资产19,134,034.99元计入公司资本公积。2017年10月13日，公司在上海市工商行政管理局办理了工商变更登记手续并领取了统一社会信用代码为91310117631825949H的《营业执照》，公司名称变更为品渥食品股份有限公司。 报告期内，公司主要从事自有品牌食品的开发、进口、销售及国外食品的合作代理销售业务。目前，公司产品以自有品牌和合作品牌进口食品为主，主要聚焦于乳品、啤酒、粮油、谷物以及饼干点心类等五大食品品类。公司重点经营的自有品牌5款、合作品牌3款以及代理品牌1款。 公司高度重视以品牌开发、推广为核心的品牌运营管理，不断优化以消费者偏好研究为核心的品牌开发，强化渠道渗透、市场营销为核心的品牌推广，已成功自主开发和推广“德亚”乳品、“瓦伦丁”啤酒、“亨利”谷物等自有品牌以及“品利”橄榄油等合作品牌，品牌影响力逐年提升，在消费者中拥有较高的声誉和品牌辨识度。 公司实施“紧跟新零售变化，布局全渠道”的渠道渗透策略，形成了以线下直销渠道、线下经销渠道以及线上电商渠道等相结合的立体式营销渠道，实现了对各市场的全面覆盖。公司线下直销渠道覆盖了麦德龙、家乐福、大润发、沃尔玛、华润万家、永辉超市、百佳、苏果超市等国内外知名商超的门店；公司线下经销渠道覆盖了约350多家活跃经销商所辖地区的中小型超市、便利店等网点；公司线上电商渠道覆盖了天猫、京东、盒马鲜生、苏宁易购、顺丰优选、7FRESH及各品牌网上自营旗舰店等主流电商销售平台。 在优质供应商及稳定性方面，公司与多家国外供应商建立了的稳定合作关系，包括德国第三大乳制品企业好沃德集团、德国第二大乳制品企业Müller集团、德国Ehrmann集团以及全球第七大乳制品企业爱氏晨曦集团（Arla Foods amba）等知名乳品制造企业，位居德国前列的卡尔斯堡集团（Karlsberg Brauerei GmbH）、比利时Martens等优质啤酒制造企业；西班牙墨尔集团（Muela-Olives S.L.）等高品质橄榄油制造企业。
