Company Introduction 富瀚有限公司成立于2004年4月16日，由自然人陈春梅、杨小奇、何辉、陈洪和 万建军共同出资，注册资本为人民币2,500,000.00元。 富瀚有限公司2009年12月18日股东会决议将陈春梅所持该公司20%股权,作价人 民币500，000.00元转让给龚传军。双方于2009年12月18日签订股权转让协议，并 于2009年12月25日完成工商变更登记。该次股权转让后富瀚有限公司注册资本为 人民币2500000.00元。 富瀚有限公司2010年11月10日股东会决议将龚传军所持该公司6.89%股权，作价 人民币172,250.00元转让给陈春梅；龚传军将所持该公司7.51%股权，作价人民币 187,750.00元转让给上海朗瀚投资管理有限公司（2014年11月上海弘瀚电子科技有 限公司变更为上海朗瀚投资管理有限公司，以下简称“朗瀚”)；杨小奇将所持该公司 9.04%股权，作价人民币226,000.00元转让给朗瀚；何辉将所持该公司4.85%股权， 作价人民币121，250.00元转让给朗瀚；万建军将所持该公司2.96%股权，作价人民 币74，000.00元转让给朗激；陈洪将所持该公司8.50%股权，作价人民币212,500.00 元转让给朗瀚。转让各方于2010年11月18日签订股权转让协议，并于2010年12 月9日完成工商变更登记。 2013年4月，经富瀚有限公司董事会决议通过，以2013年1月31日为基准日，将 富瀚有限公司整体改制设立为股份有限公司，注册资本为人民币30，000,000.00元。 原富瀚有限公司的全体股东即为股份有限公司的全体发起人。 根据本公司2014年7月15日股东大会决议和章程修正案的规定，本公司申请新增 注册资本及股本为人民币3333300.00元，增资总对价为人民币9999900.00元，由 朗瀚和上海腾瀚投资管理中心(有限合伙)于2014年11月14日前缴纳。
