Company Introduction 华能国际电力股份有限公司（「本公司」、「公司」或「华能国际」）及其附属公司主要在中国全国范围内开发、建设和经营管理大型发电厂，是中国最大的上市发电公司之一,是中国境内第一个实现在纽约、香港、上海三地上市的发电公司。截至二零二一年十二月三十一日拥有可控发电装机容量118,695兆瓦，权益发电装机容量103,875兆瓦，低碳清洁能源装机占比达到22.39%。公司境内电厂广泛分布在中国二十六个省、自治区和直辖市；公司在新加坡全资拥有一家营运电力公司，在巴基斯坦投资一家营运电力公司。 本公司成立于一九九四年六月三十日，同年十月在全球首次公开发行了12.5亿股境外上市外资股（「外资股」），并以3,125万股美国存托股份（「ADS」）形式在美国纽约证券交易所上市（代码：HNP）。一九九八年一月，本公司外资股在香港联合交易所有限公司（「香港联交所」）以介绍方式挂牌上市（代码：902），此后于一九九八年三月本公司又成功地完成了2.5亿股外资股的全球配售和4亿股内资股的定向配售。二零零一年十一月，本公司在国内成功发行了3.5亿股A股（代码：600011），其中2.5亿股社会公众股在上海证券交易所上市。二零一零年十二月，本公司完成了15亿股A股和5亿股H股的非公开发行。二零一四年十一月，本公司完成了3.65亿股H股的非公开发行。二零一五年十一月，本公司完成了7.8亿股H股的非公开发行。二零一八年十月，本公司完成4.98亿股A股的非公开发行。目前，公司总股本约为157亿股。 公司的主要业务是利用现代化的技术和设备，利用国内外资金，在全国范围内开发、建设和运营大型发电厂。作为发电企业，公司成立以来，坚持技术创新、体制创新、管理创新，在电力技术进步、电厂建设和管理方式等方面创造了多项国内行业第一和里程碑工程，推动了中国电力事业的跨越式发展和电站设备制造业的技术进步，促进了中国发电企业技术水平和管理水平的提高。公司在中国首次引进了60万千瓦「超临界」发电机组；投运了国内首台单机容量100万千瓦及首台数字化百万千瓦超超临界燃煤机组，建成了世界上首台使用海水脱硫百万千瓦机组和国内首座超超临界二次再热燃煤发电机组，开发了火电厂烟气协同治理技术，并在环保改造和新建工程中广泛应用，自主研发的“国家首台（套）”重大技术装备全国产安全智能型DCS/DEH一体化分散控制系统在百万千瓦超超临界高效二次再热机组投运，并在燃煤和燃气机组中广泛应用；公司在国内首次实现了5兆瓦风机批量投产；投运了国内最先进的、发电容量和供热容量最大的燃气机组；建成了中巴经济走廊首个重大能源项目，创造了中国海外电力建设工程安全、质量和进度最好记录；公司技术经济指标、全员劳动生产率在国内电力行业保持先进水平。公司不断优化电源结构和区域布局，巩固常规能源领先地位，加快发展新能源，提高产业协同效果，拓展配售服务领域，实现运营水平、质量效益和企业活力全面提升。 多年来，公司锐意进取，规模逐年扩大，竞争实力不断增强。公司的发展依赖于公司的规模和装备优势、积极的低碳清洁能源转型优势、科技创新和环保优势、公司电厂的区域布局优势、健全的公司治理结构和市场信誉优势、丰富的资本运作经验和海外发展优势、高素质的员工队伍和专业化的管理及大股东的强有力支持等多方面的优势。 公司的发展目标是：作为发电公司，致力于为社会提供充足、可靠、环保的电能；作为上市公司，为股东创造长期、稳定、增长的回报；作为一流电力公司，致力于运营卓越、国内优秀、国际领先。 本公司的控股股东是华能国际电力开发公司（「华能开发」），最终控股股东是中国华能集团有限公司（「华能集团」）。
