Company Introduction 公司系由中信建投有限以整体变更方式设立的股份有限公司。2011年6月8日，中信建投有限召开股东会，审议通过将中信建投有限整体变更为股份有限公司的议案，同意以截至2010年12月31日经审计的中信建投有限净资产9,371,298,938.13元，折合为股份有限公司6,100,000,000股股份（折股比例为65.0924%），每股面值人民币1元。同日，中信建投有限全体股东签订了《中信建投证券股份有限公司发起人协议》。2011年6月20日，北京市国资委以《关于中信建投证券股份有限公司（筹）国有股权管理有关问题的批复》（京国资产权[2011]90号）同意中信建投有限整体变更设立为股份有限公司的国有股权管理方案。2011年6月30日，中国证监会以《关于核准中信建投证券有限责任公司变更为股份有限公司的批复》（证监许可[2011]1037号）核准中信建投有限变更为股份有限公司。2011年9月28日，公司取得北京市工商行政管理局核发的《企业法人营业执照》（注册号：110000009017684），注册资本为人民币610,000万元。本公司于2017年6月5日办理了工商登记变更，并于2017年6月9日换领了统一社会信用代码为91110000781703453H的营业执照。公司的主要业务为：证券经纪；证券投资咨询；与证券交易、证券投资活动有关的财务顾问；证券承销与保荐；证券自营；证券资产管理；证券投资基金代销；为期货公司提供中间介绍业务；融资融券业务；代销金融产品业务；保险兼业代理业务；股票期权做市业务；证券投资基金托管业务；销售贵金属制品。公司拥有全业务平台，为企业客户、金融机构、政府机关及个人提供境内外一体化的全方位产品和服务。主要业务分为四个板块，包括投资银行业务、财富管理业务、交易及机构客户服务及投资管理业务。其中，投资银行业务主要包括股权融资、债务融资和财务顾问服务；财富管理业务主要包括为个人及企业客户所提供的证券经纪、融资融券和回购业务；交易及机构客户服务主要包括为各类金融机构客户所提供的证券经纪及金融产品销售业务、投资研究业务，以及公司的自营交易业务；投资管理业务主要包括资产管理业务、基金管理业务和私募股权投资管理业务。
