| Company Introduction | 本公司系由红星有限以截至2010年6月30日经审计的净资产折股后，于2011年1月6日整体变更设立的股份有限公司。2010年12月23日，商务部出具《关于同意上海红星美凯龙企业管理有限公司变更为外商投资股份有限公司的批复》（商资批【2010】1266号），同意红星有限整体变更为外商投资股份有限公司。根据有关红星有限整体变更为股份公司的相关决议及协议，全体发起人一致同意根据德勤华永于2010年8月17日出具的《审计报告》（德师报（审）字（10）第P1577号）所审计的财务报表，将截至2010年6月30日红星有限经审计的全部净资产3,260,932,367.04元中的3,000,000,000.00元计入实收资本，其余260,932,367.04元计入资本公积。整体变更后的股份公司的注册资本和实收资本均为3,000,000,000.00元，原红星有限各股东将按其截至2010年6月30日的出资比例相应地持有股份公司的股份。2010年12月29日，经德勤华永出具的《验资报告》（德师报（验）字（10）第0101号）验证，截至2010年12月23日，股份公司全体发起人的注册资本已经按发起人协议及《公司章程》之规定足额缴纳。2010年12月30日，股份公司召开创立大会。2011年1月6日，股份公司在上海市工商局完成工商变更登记，取得注册号为310115001019076的《企业法人营业执照》。根据换发后的《企业法人营业执照》，公司的注册资本和实收资本均为300,000万元；公司类型为股份有限公司（中外合资、未上市；外资比例低于25%）。2015年6月26日，股份公司完成首次公开发行境外上市外资股即H股并在香港联交所上市。通过此次发行，股份公司公开发行H股54,358.8万股。此次发行H股所收到的资金在扣除承销费、保荐费、股票交易费和交易税等必要费用后，合计募集资金为7,005,572,960.59港币。2015年8月25日，股份公司取得上海市人民政府换发的《中华人民共和国外商投资企业批准证书》；2015年9月9日，股份公司在上海市工商局完成工商变更登记。经营范围为：为所投资企业提供管理服务，企业管理咨询，商品信息咨询；为经营卖场提供设计规划及管理服务；家具、建筑材料（钢材除外）、装饰材料的批发，并提供相关配套服务。（涉及配额许可证管理、专项规定管理的商品按照国家有关规定办理）。【依法须经批准的项目，经相关部门批准后方可开展经营活动】。 | ||||||||||||||||||||||||
