Company Introduction 发行人是由珀莱雅化妆品有限公司以整体变更方式设立的股份有限公司，以经发行人会计师审计的截至2015年6月30日的净资产282,214,841.59元为依据，将净资产中150,000,000元折合为150,000,000股，每股面值1.00元，剩余净资产132,214,841.59元作为股本溢价计入资本公积。珀莱雅有限整体变更为股份公司前后，各股东的持股比例不变。2015 年7 月31 日，珀莱雅化妆品股份有限公司在杭州市市场监督管理局完成工商登记，注册资本15,000 万元，并取得注册号为330503000002413 的《营业执照》。（2016 年9 月18 日换发为统一社会信用代码为91330100789665033F的《营业执照》）。 公司自设立以来专注于化妆品的研发、生产和销售。目前旗下拥有“珀莱雅”、“优资莱”、“韩雅”、“悠雅”、“猫语玫瑰”、“悦芙媞”等品牌，产品覆盖护肤品、彩妆、清洁洗护、香薰等化妆品领域，满足不同年龄、偏好的消费者需求；构建了覆盖日化专营店、百货商场、超市、单品牌店和电子商务等多渠道销售网络。公司主品牌“珀莱雅”，旗下包括“早晚水漾系列”、“肌密系列”、“深海致臻系列”、“海洋防晒系列”、“水漾芯肌系列”等多个系列多款产品；2009年公司推出天然植物护肤品牌“优资莱”、主打“蜗牛修复系列”系列的“韩雅”品牌和天然护肤彩妆“悠雅”品牌；2012 年公司推出少女彩妆品牌“猫语玫瑰”；2016 年公司推出产品风格为“自然、纯真、现代、有趣” 的“悦芙媞”品牌。产品品牌的差异化定位覆盖了宽年龄段、宽收入区间、多层次的客户群。公司产品侧重于大众护肤品，营销网络重点布局国内二三线城市，根据产品品牌市场定位、特点建立了以日化专营店渠道、电商渠道和商超渠道为主的营销网络。公司旗下主要拥有“珀莱雅”、“优资莱”、“韩雅”、“悠雅”、“猫语玫瑰”、“悦芙媞”等品牌多个系列产品。
