| Company Introduction | 发行人系由福建永悦科技有限公司整体变更设立的股份公司。依据永悦有限股东会于2014年10月27日作出的决议及各发起人签署的《发起人协议》，永悦有限以截至2014年8月31日经审计的净资产值剔除专项储备后，计17,447.08万元为基础，折合股份10,800万股，由原股东按原出资比例分别持有，余额6,647.08万元计入公司资本公积。2014年11月19日，致同会计师事务所（特殊普通合伙）出具致同验字（2014）第351ZB0219号《验资报告》，对永悦有限整体变更为永悦科技股份有限公司（筹）的注册资本变更情况进行了审验。2014年12月5日，永悦科技取得了泉州市工商局核发的注册号为350500100057928的《营业执照》。发起设立后，公司注册资本为10,800万元，股本总额为10,800万股，每股面值人民币1元。自成立以来，发行人始终专注于以高分子合成材料——不饱和聚酯树脂为主的合成树脂的研发、生产和销售。报告期内，公司抓住我国人造石材行业快速发展的市场机遇，依托公司毗邻全国主要石材生产基地之一的福建泉州南安市的区位优势，加大对人造石树脂的投入力度，凭借公司的研发实力和稳定的产品品质，公司在较短时间内成为国内规模较大的人造石材用不饱和聚酯树脂供应商之一。目前，公司研发的不同规格型号的不饱和聚酯树脂达到数十种，产品应用于人造石材、工艺品、玻璃钢复合材料和涂料等领域中，是国内不饱和聚酯树脂领域品种较为齐全、应用领域较为广泛的厂商之一。报告期内，公司主营业务收入总体保持平稳态势。2014年、2015年和2016年，发行人主营业务收入分别为55,422.82万元、54,340.14万元和53,307.81万元；净利润分别为4,342.07万元、4,170.34万元和4,731.39万元。 | ||||||||||||||||||||||||
