| Company Introduction | 本公司系由开立有限整体变更设立的股份有限公司。公司前身开立有限成立于2002年9月27日，由姚锦钟主导创立。姚锦钟先生是我国超声仪器工业的先行者和奠基人之一，自上世纪六十年代开始从事超声仪器的研究开发与制造，历任汕头超声仪器研究所所长、汕头超声电子仪器公司副总经理、总工程师，1995年被授予汕头市优秀拔尖人才，市管专家，是第五、六、七届全国人大代表，国家级“有突出贡献中青年专家”，第一批享受国务院特殊津贴专家。 2014年12月20日，开立有限全体股东签署《股东会决议》，同意以开立有限原股东作为股份公司的发起人，以经天健会计师事务所审计的截至2014年10月31日的净资产值464，400，023.34元为基础折成总股本36,000万股，折股后股份公司的股本总额为36，000万元，净资产超出部分104，400，023.34元计入股份公司资本公积金。天健会计师事务所就股份有限公司设立情况出具天健验[2014]3-92号《验资报告》。 2014年12月31日，开立医疗取得深圳市市场监督管理局核发的注册号为440301103617854的《企业法人营业执照》。 发行人主营业务为医疗诊断设备的研发、生产与销售，发行人始终以客户需求为导向，致力于为全球医疗机构提供优质的产品和服务，经过十多年的发展，发行人己经形成全系列医用超声诊断设备产品，并向医用内窥镜领域延伸，发行人产品线围绕医疗诊断设备领域逐渐多元化。 | ||||||||||||||||||||||||
