Company Introduction 公司的前身松鼠有限是由创始人章燎源先生于2012年2月16日注册成立，设立时公司为一人有限责任公司，注册资本为100万元人民币，住所为安徽省芜湖市弋江区高新技术产业开发区西山路38号，经营范围为电子商务（涉及前置许可的除外），互联网信息技术咨询，网站建设，产品包装。2012年2月16日，安徽徽瑞会计师事务所出具《验资报告》（徽瑞验报字（2012）第0078号），确认截至2012年2月16日，松鼠有限已收到股东缴纳的注册资本100万元，出资方式为货币。2017年2月28日，大华出具《三只松鼠历次验资复核报告》（大华核字[2017]000886号），对上述出资情况进行了验资复核。 公司系由松鼠有限按照经审计的净资产折股整体变更设立。2015年12月14日，经公司创立大会决议，公司以截至2015年9月30日经审计的净资产人民币331,343,745.07元中的300,000,000.00元折合为300,000,000.00股作为股份公司股本总额，每股面值1.00元，剩余31,343,745.07元净资产计入资本公积金。2015年11月28日，国融兴华就三只松鼠有限整体变更设立股份公司事项出具了《评估报告》（国融兴华评报字[2015]第010339号），确认三只松鼠有限在评估基准日2015年9月30日的净资产评估值为33,921.55万元。2015年12月25日，安徽省商务厅出具了《安徽省商务厅关于同意变更设立安徽三只松鼠电子商务有限公司整体改制为股份有限公司的批复》（皖商办审函[2015]1002号），批准松鼠有限变更为股份有限公司。2015年12月29日，公司经芜湖市工商行政管理局核准变更登记为三只松鼠股份有限公司，《营业执照》统一社会信用代码为91340200591406087P，注册资本为30,000万元。
