本公司是根据国务院领导批示同意的中国银河证券有限责任公司重组基本思路的要求，经中国证监会批准同意，由银河金控联合北京清华科技创业投资有限公司、重庆水务控股（集团）有限公司、中国通用技术（集团）控股有限责任公司和中国建材股份有限公司等四家投资者以现金出资60亿元发起设立的。本公司于2007年1月26日取得国家工商总局颁发的《企业法人营业执照》，并于2007年1月30日取得中国证监会颁发的《经营证券业务许可证》。根据银河有限重组基本思路和银河金控与银河有限据此讨论形成的《关于银河证券重组有关事项的框架意见》（以下简称“框架意见”），本公司分别于2006年9月21日和2007年6月30日与资产转让收购有关当事人签订了《资产收购协议》和《资产收购协议之补充协议》，以11亿元的价格收购银河有限的证券经纪业务、投资银行业务及相关资产、负债和银河有限所持的49.99%银河期货股权。2007年1月至6月，本公司与银河有限进行了业务、资产及相应资料和系统的转接。银河有限向本公司出售证券业务及相应资产后更名为中国银河投资管理有限公司，转为实业公司。根据银河有限重组基本思路和框架意见，2006年12月，银河金控和银河有限签署《收益权转让协议》，银河金控将其持有的本公司部分股份的收益权转让给银河有限。银河有限（后更名为银河投资）陆续和债权人签署《业务处理协议》，将其持有的部分收益权转让给债权人，以抵偿所欠债务。2012年，经财政部批准和北京证监局出具无异议函，30家法人和3位自然人股份收益权持有人全部转为本公司股东，其各自持有的全部本公司股份的收益权转为各自持有这些收益权对应的累计628,878,017股本公司股份。与此同时，银河金控减少持有这些收益权对应的股份。 2013年，经中国证监会批准同意，本公司在境外首次公开发行150,000万股H股股票，于2013年5月22日在香港联交所上市交易，股票代码“06881.HK”，并于2013年6月13日行使部分超额配售选择权，额外发行3,725.88万股H股股票。 2015年4月，经中国证监会批准同意，本公司在境外配售200,000万股H股股票，2015年5月5日，本公司成功向不少于六名承配人配发及发行200,000万股H股股票，配售价格为港币11.99元，配售所得款总额约为23,980百万港元，配售完成后，公司股份总数从7,537,258,757股增加至9,537,258,757股。
