Company Introduction 公司前身为广州瑞松科技有限公司。瑞松有限成立于2012年8月8日，由孙志强、颜雪涛、张国良、孙文渊和孙圣杰以货币出资设立，设立时注册资本为3,000.00万元，法定代表人为孙志强。2012年8月8日，瑞松有限在广州市工商行政管理局完成设立登记并取得《企业法人营业执照》（注册号：440101000212457）。 2016年3月10日，瑞松有限通过股东会决议，同意由瑞松有限全体股东作为发起人，将瑞松有限整体变更为股份有限公司，股份公司名称变更为“广州瑞松智能科技股份有限公司”；同意以经立信会计师事务所（特殊普通合伙）于2016年3月1日出具的《审计报告》（信会师报字[2016]第410117号）审计的截至2015年12月31日的净资产人民币110,928,604.74元，按照1：0.378621908的比例折股为42,000,000股，其余部分计入资本公积。各发起人按照各自在瑞松有限的出资比例根据股份有限公司注册资本转为持有股份有限公司的股份。 2016年3月28日，发行人完成工商变更登记手续并领取了广州市工商行政管理局核发的营业执照（统一社会信用代码：914401010525516483）。 发行人自成立以来，专注于机器人系统集成与智能制造领域的研发、设计、制造、应用、 销售和服务，致力于为客户提供成套智能化、柔性化制造系统解决方案，公司的产品及服务除主要应用于汽车行业外，同时扩展到汽车零部件、3C、机械、电梯、摩托车、船舶等行业。在自动化程度最高、工业机器人应用最广泛的汽车行业，发行人在国内汽车焊装领域处于领先地位；未来随着其他一般工业领域自动化、智能化水平的不断提高，机器人应用的广度和深度不断提升，发行人的业务发展空间也将不断拓展。发行人不从事机器人本体或机器人关键零部件业务。发行人及主要控股子公司广州瑞北自成立以来，主营业务均未发生变化。 发行人的主要产品包括机器人自动化生产线、机器人工作站、机器人配件销售等。
