Company Introduction 明冠新材料股份有限公司前身系原明冠科技(江西)有限公司，明冠公司系由明冠集团控股有限公司投资设立的台港澳法人独资企业，于2010年11月15日经宜春市商务局以《关于同意外资企业明冠能源（江西）有限公司股权转让的批复》（宜商外资字(2010)67号）批准，变更为中外合资企业，于2011年10月27日经宜春市商务局以《关于合资企业“明冠能源(江西)有限公司”变更为内资企业的的批复》(宜商外资字(2011)90号)批准，变更为内资企业，并取得注册号为360900520000420的企业法人营业执照。明冠公司初始成立时的注册资本为港币4,000.00万元。明冠公司以2013年3月31日为基准日，整体变更为股份有限公司，并于2013年8月22日在江西省宜春市工商行政管理局登记注册，总部位于江西省宜春市。公司现持有统一社会信用代码为91360900667497406N的营业执照，注册资本12,306.5736万元，股份总数12,306.5736万股（每股面值1元）。 本公司属C29橡胶和塑料制品业,公司经营范围：电池背板、铝塑膜、POE膜、PVB膜、多功能薄膜、特种防护膜、特种功能复合材料及其制品的研发、生产和销售、货物与技术进出口业务；房屋租赁、物业管理（依法须经批准的项目，经相关部门批准后方可开展经营活动）。主要产品：太阳能电池背板。 公司在发展过程中掌握了一系列拥有自主知识产权的复合膜材料类产品的配方及生产工艺，并以此为依托陆续开发了锂离子电池用铝塑膜、特种防护膜、POE胶膜等产品，将相关技术拓展至多个应用领域。报告期内，公司的铝塑膜、特种防护膜、POE胶膜等产品已实现了批量生产及销售，并随着对上述新产品研发及生产的持续投入，上述新产品及其业务将有望成为公司未来重要的利润增长点。
