Company Introduction 公司系由深圳市金奥博科技有限公司以整体变更的方式发起设立。2016年02月29日，金奥博有限召开股东会，以金奥博有限截至2015年12月31日经审计的净资产值115,478,726.64元为基数，折为股份公司股本7,920万股，每股面值人民币1元，余额人民币36,278,726.64元作为股本溢价全部计入股份公司的资本公积。发起人以各自在公司所占的注册资本比例，对应折为各自所占股份公司的股份比例。2016年03月18日，股份公司召开创立大会暨第一次股东大会审议通过了与股份公司设立相关的议案，并选举产生了公司第一届董事会董事成员及第一届监事会中股东代表监事成员。同日，全体发起人共同签署了股份公司适用的《公司章程》。2016年03月28日，股份公司在深圳市市场监督管理局办理了相关变更登记手续，公司整体变更为深圳市金奥博科技股份有限公司。 公司是民爆行业生产和爆破企业的综合服务商，主营业务是为客户提供生产民爆器材的成套工艺技术、装备、软件系统及工业炸药关键原辅材料的一站式综合服务。公司的主要产品包括工业炸药生产工艺技术、软件及设备系统、工业炸药关键原辅材料和工业雷管生产线。 公司的产品质量符合国家、行业相关的质量技术标准。公司在完成研发、生产并在客户现场完成安装调试后，会对客户进行培训如何正确使用公司的产品。 公司处于民爆行业产业链中，主要为下游行业民爆器材生产企业及爆破工程服务企业提供工业炸药和雷管生产装备及工业炸药关键原辅材料。工业炸药和雷管广泛应用于矿山开采及能源建设、建筑、交通建设、农林水利建设、地震勘探及国防建设等领域。 公司自设立以来，业务规模不断壮大。虽然公司积累了丰富的适应快速发展的经营管理经验，并形成了有效的约束机制及内部管理机制，但本次发行结束后，公司资产规模将大幅提高，人员规模将会增长，需要公司在资源整合、市场开拓、产品研发与质量管理、财务管理、内部控制等诸多方面进行适应性调整，对子公司和公司各部门工作的协调性、严密性、连续性也提出了更高的要求。
