Company Introduction 公司系由名臣有限整体变更设立。2015年3月1日，名臣有限股东会通过决议，同意公司整体变更为股份有限公司，公司名称变更为“名臣健康用品股份有限公司”。2015年3月31日，正中珠江出具《审计报告》（广会所审字[2015]第G14011650081号），截至2015年1月31日，名臣有限的净资产值为212,460,416.16元。2015年4月1日，名臣有限全体股东签署《发起人协议》，同意以2015年1月31日为改制审计基准日，将公司经审计后的净资产值212,460,416.16元按3.7014:1的比例折合成股份公司股本5,740万股（每股面值1.00元），由公司现股东按照各自在公司的出资比例持有相应数额的股份，股本与净资产的差额155,060,416.16元计入股份公司的资本公积。2015年4月10日，正中珠江出具《验资报告》（广会验字[2015]G14011650115），对公司股本予以验证。2015年4月16日，发行人召开创立大会，同意公司整体变更为股份有限公司。2015年4月29日，名臣健康在汕头市工商行政管理局完成工商变更登记，取得了注册号为440583000000659的《企业法人营业执照》，注册资本为5,740万元。 公司成立于1994年，自成立以来一直扎根日化行业，目前是一家研发、生产、销售健康护理用品的高新技术企业，主要产品包括洗发水、护发素、沐浴露、啫喱水及护肤品等。公司本着“创民族品牌，做百年名臣”的愿景，始终坚持“以消费者诉求为导向，以技术创新为动力，以卓越品质为保障”的理念，为消费者提供“安全、健康、天然”的高品质消费体验。
