Company Introduction 2003年10月15日，三和沙石与裕胜国际签署《合资经营企业中山市三和建材有限公司合同》及《合资经营企业中山市三和建材有限公司章程》。2003年11月7日，三和建材向中山市工商行政管理局办理了工商注册登记并领取了《企业法人营业执照》。2007年12月14日，三和建材董事会作出决议，同意公司名称变更为“广东三和管桩有限公司”。2007年12月24日，三和建材向中山市工商行政管理局办理了工商变更登记并换领了《企业法人营业执照》。2015年6月24日，三和有限董事会作出决议，同意由全体股东作为发起人将三和有限整体变更为股份公司，以经审计的截至2015年1月31日的净资产540,026,005.88元为基准，折为股份公司总股本392,815,000.00元，其余计入资本公积，各股东持股比例保持不变。2015年6月25日，三和有限全体股东签署了《发起人协议》。2015年7月24日，广东省商务厅出具《广东省商务厅关于合资企业广东三和管桩有限公司转制为外商投资股份有限公司的批复》（粤商务资字【2015】260号），同意三和有限整体变更为“广东三和管桩股份有限公司”。2015年8月13日，中山市工商行政管理局为公司颁发了注册号为“442000400002409”的《营业执照》，公司注册资本为39,281.50万元。 本公司主要从事预应力混凝土管桩产品研发、生产、销售，并已在广东、江苏、浙江、福建、湖南、湖北、辽宁、山东、山西、安徽等省份建成了14个生产基地，并配套相应的运输子公司负责配送管桩产品。公司已成为国内规模最大的预应力混凝土管桩生产企业之一。 按照具体产品划分，公司属于预制混凝土桩行业。预制混凝土桩为用钢筋、混凝土等材料预制而成的桩类产品，按照外部形状一般可分为管桩和方桩。预应力混凝土管桩是指采用离心和预应力工艺成型的圆环形截面的预应力混凝土桩，简称管桩。管桩为预制混凝土桩行业的主要产品。桩身混凝土强度等级不低于C80的管桩为高强混凝土管桩（简称PHC管桩）。预应力混凝土管桩的主流产品为PHC管桩，亦为本公司的主要产品。公司主要生产外径300mm～800mm，多种型号、长度的PHC管桩，主要作用是将建筑物或构筑物的荷载传递到地基上，是我国各类工程建筑的主要桩基础材料之一。 报告期内，公司的主营业务和主要产品未发生变化。根据中国混凝土与水泥制品协会自统计以来发布的数据，截至2019年度，公司连续七年产量排名行业第二。公司拥有广东省“工程技术研究开发中心”及广东省省级“企业技术中心”。截至本招股意向书签署日，公司共拥有专利95项，其中发明专利25项，实用新型专利69项、外观设计专利1项。 依靠自身的研发实力和多年的技术积累，公司已逐步树立在细分领域主要产品的标准制订的重要地位。公司负责起草了《预应力高强混凝土管桩免压蒸生产技术要求》（T/CBMF64-2019T/CCPA9-2019）、《先张法预应力高强混凝土耐腐蚀管桩》（T/CBMF65—2019T/CCPA10—2019）等中国建筑材料协会标准，参与起草了《先张法预应力混凝土管桩》(GB13476-2009)、《先张法预应力离心混凝土异型桩》（GB31039-2014）、《工业建筑防腐蚀设计规范》(GB/T50046-2018)、《水泥制品单位产品能源消耗限额》(GB38263-2019)、《用于耐腐蚀水泥制品的碱矿渣粉煤灰混凝土》（GB/T29423-2012）、《预防混凝土碱骨料反应技术规范》（GB/T50733-2011）、《钻芯检测离心高强混凝土抗压强度试验方法》(GB/T19496-2004)等国家标准。
