Company Introduction 2005年1月13日，代啸宁先生、何蕾女士和朱红艳女士共同出资设立了必创有限，注册资本105万元，全部为货币出资。其中：代啸宁先生出资57.75万元，占注册资本的55%；何蕾女士出资42.00万元，占注册资本的40%；朱红艳女士出资5.25万元，占注册资本的5%。2005年1月13日，北京市工商行政管理局海淀分局核发了注册号为1101082790693的《企业法人营业执照》。公司系由必创有限整体变更设立的股份有限公司。根据必创有限2014年8月14日临时股东会决议，必创有限以截至2014年3月31日经瑞华会计师事务所审计的净资产7,328.41万元为基础，按1：0.6959的比例折为5,100万股，整体变更为股份公司，其余2,228.41万元计入资本公积。同日，必创有限全体股东签署《发起人协议书》。2014年8月29日，瑞华会计师事务所对必创有限整体变更设立为股份公司的注册资本情况进行了审验并出具了“瑞华验字[2014]01700005号”《验资报告》。2014年9月25日，北京市工商行政管理局海淀分局核发了注册号为110108007906936的《企业法人营业执照》。 公司是一家无线传感器网络系统解决方案及MEMS传感器芯片提供商，是国内最早基于IEEE802.15.4通讯标准进行无线传感器网络相关产品研发、生产和销售的企业之一，是国内较早实现无线传感器网络产品产业化生产的企业。公司的主营业务为工业过程无线监测系统解决方案（监测方案）、力学参数无线检测系统解决方案（检测方案）、MEMS压力传感器芯片及模组产品（MEMS产品）的研发、生产和销售。公司为智能工业、数字油田、智能电网等领域提供监测方案；为装备制造、科研院所及检测、教学及实验、国防研究等领域提供检测方案；为汽车电子及消费类电子产品厂商等提供MEMS产品。公司的主要产品为监测方案、检测方案、MEMS产品。 公司是国内最早从事新型智能传感器产品研发、生产和销售的企业之一，子公司卓立汉光也是国产光电分析仪器设计制造领域率先进行自主研发的企业之一。在智能传感器及光电仪器领域，经过多年积累，公司已经拥有较为齐全的产品矩阵以及丰富的应用经验，在对标国际领先技术的同时，基于具体应用场景的需求进行应用创新，逐步在细分市场建立了产品的竞争优势。
