Company Introduction 发行人前身火星人有限由自然人黄卫斌、朱正耀和董其良共同出资设立，设立时注册资本为3,000万元，各股东以货币出资，其中黄卫斌认缴出资额为1,530万元，占比51%；朱正耀认缴出资额为1,020万元，占比34%；董其良认缴出资额为450万元，占比15%。各股东在火星人有限设立时已缴纳其认缴出资额的三分之一，剩余部分在火星人有限成立后两年内缴纳完毕。2010年4月8日，火星人有限在海宁市工商行政管理局登记设立，领取了330481000074399号《企业法人营业执照》。 2016年10月29日，火星人有限全体股东共同签署了《发起人协议》，约定发起设立火星人厨具股份有限公司，同时召开股东会同意以经立信会计师审计的截至2016年7月31日的净资产8,344.15万元为基础，折合股本6,750万股，每股面值1元，净资产超过股本部分计入资本公积，将火星人有限整体变更设立为股份有限公司，原股东按照火星人有限的出资比例相应持有股份公司的股票。同日，公司召开创立大会暨2016年第一次临时股东大会，火星人厨具股份有限公司正式设立。2016年11月9日，公司就上述整体变更事项办理完成工商变更登记手续并取得了嘉兴市市场监督管理局核发的统一社会信用代码为91330481554013049C号的《营业执照》。 公司专业从事新型厨房电器产品的研发、设计、生产与销售业务，主要产品包括集成灶、集成水槽、集成洗碗机等系列产品，凭借产品品质、整体性能、外观设计等多个方面的优势，公司主要产品的销量和市场认可度不断提升，公司的业务规模、盈利能力和市场竞争力也在不断增强。公司自成立以来高度重视技术研发，不断对厨房吸油烟技术进行科技创新，拥有较强的技术研发能力与丰富的技术研究成果，其中公司设计推出的“X7”集成灶产品荣获了“IF设计金奖”、“红点设计奖”、“中国设计红星奖”以及“AWE2020艾普兰奖优秀产品奖”等国内外知名奖项。
