Company Introduction 保立佳有限成立于2001年8月24日，是由杨文俊、杨文瑜、衣志刚三位自然人以货币出资设立的有限责任公司，设立时公司注册资本为50万元。2001年8月24日，保立佳有限在上海市工商行政管理局奉贤分局依法登记注册，并取得注册号为3102262017611的营业执照。2015年5月20日，保立佳有限召开临时股东会，审议并通过了《上海保立佳化工有限公司整体变更为股份有限公司的议案》，同意将公司类型由有限责任公司变更为股份有限公司，以保立佳有限截至2014年12月31日经审计的账面净资产14,421.66万元折合为股份公司股本6,150万股，每股面值1元，其余部分计入资本公积，各股东持股比例不变。2015年6月28日，公司召开创立大会，通过了关于设立股份公司的有关决议。同日，2015年6月28日，中兴华出具了“中兴华验字（2015）第SD-3-005号”《验资报告》，确认截至2015年6月28日公司已收到全体股东以其拥有的保立佳有限的净资产折合的股本人民币6,150万元。2015年7月20日，公司就此次变更取得了上海市工商行政管理局换发的《营业执照》。统一社会信用代码为91310000729349653F。 公司自2001年设立以来，主要从事水性丙烯酸乳液的研发、生产和销售业务。水性丙烯酸乳液系以丙烯酸酯单体为主的乙烯基单体经乳液聚合化学反应而形成，是一种无毒、无污染、具有优异的物理和化学性能的环保型工业产品。公司产品包括建筑乳液、防水乳液、纺织乳液和包装乳液等各种功能性丙烯酸乳液及助剂，上述产品作为涂料原料、涂层原料等广泛应用于建筑涂料、防水材料、纺织工艺、包装材料、木器涂料和金属涂料等领域。公司是国内生产水性丙烯酸乳液的主要企业之一，业务已覆盖国内外，是立邦、三棵树、亚士创能和阿克苏等知名涂料企业的核心供应商之一，与上述客户构建了良好的长期合作关系。 公司一直重视产品研发和工艺技术提升，聚集了一批多年从事丙烯酸乳液行业的专业人才，已建立起现代化、专业化的丙烯酸乳液研发中心。截至本招股意向书签署日，公司及其子公司已获授权专利43项，包括发明专利23项，实用新型专利20项。公司及其子公司负责起草了国家标准《复层建筑涂料》（GB/T9779-2015），参与起草了《建筑涂料用乳液》（GB/T20623-2006）等3项国家标准和《建筑防水涂料用聚合物乳液》（JC/T1017-2006）等5项行业标准。2019年，公司被中国涂料工业协会评为改革开放四十周年中国涂料行业发展贡献企业。
