Company Introduction

（一）2011年9月，天津奇思设立. 天津奇思系由Qihoo360的全资子公司奇霁国际出资设立，设立时注册资本为2,000万美元。2011年9月1日，天津市商务委员会出具了《关于同意设立天津奇思科技有限公司的批复》（津商务资管申[2011]150号）；同日，天津市人民政府颁发《中华人民共和国台港澳侨投资企业批准证书》（商外资津港澳侨字[2011]01023号），批准了天津奇思的设立。（二）2016年7月，天津奇思股权转让及变更企业性质. 2016年7月29日，为清晰标的公司股权结构，奇霁国际作出《天津奇思科技有限公司股东决定》，同意将其持有的天津奇思100%股权转让给奇信通达。同日，奇霁国际与奇信通达签订了《股权转让协议》，经双方协商，股权转让对价为人民币57,595.19万元。 2016年7月29日，天津奇思完成了本次股权转让及企业性质变更的工商变更登记手续，并领取了新的营业执照。（三）2016年11月，天津奇思注册资本变更. 2016年11月2日，奇信通达作出了《天津奇思科技有限公司股东决定》，同意新增注册资本87,366.60万元，天津奇思的注册资本增加至人民币100,000万元。2016年11月2日，天津奇思完成本次增资的工商变更登记，并取得了新的营业执照。（四）2017年2月，天津奇思吸收合并奇信通达. 2016年12月21日，经奇信通达股东会审议通过，同意天津奇思吸收合并奇信通达，合并后天津奇思存续，奇信通达注销，合并后天津奇思的注册资本变更为人民币5,617.6628万元。同日，奇信通达作为天津奇思的股东签署了《天津奇思科技有限公司股东决定》，同意上述变更。2017年2月17日，天津奇思完成吸收合并奇信通达的工商变更登记，并取得了新的营业执照。（五）2017年3月，整体变更为股份有限公司. 2017年3月19日，天津奇思股东会审议通过了天津奇思整体变更为股份有限公司，并更名为“三六零科技股份有限公司”的议案，同意天津奇思全体股东作为发起人以天津奇思截至2017年2月28日经审计的净资产值10,918,755,085.31元为基础，按1：0.1832的比例折股，折为2,000,000,000股，每股面值1元，其余部分进入资本公积金。2017年3月20日，三六零全体股东共同签署了《关于设立三六零科技股份有限公司之发起人协议》。 2017年3月20日，三六零召开股东大会第一次会议，全体股东审议并通过了本次整体变更有关的议案。 2017年3月21日，三六零完成了变更为股份公司的工商登记并借壳江南嘉捷电梯股份有限公司在A股上市。
