| Company Introduction | 上海中毅达股份有限公司前身是中国纺织机械厂,已有近90年的悠久历史。主要生产纺织机械及与纺织机械有关的器材，主要产品有高档剑杆织机和高档喷气织机及织机配套的电器产品等。公司已于2014年6月10日召开董事会审议通过了公司股权分置改革及重大资产重组事宜，有关事项已于2014年7月3日召开的公司临时股东大会审议通过。2014年7月大申集团已向公司无偿赠与厦门中毅达100%股权（评估值为8.34亿元），为公司开展园林业务提供了优质资产，因此，公司主营业务由纺织机械变更为园林绿化行业。上海中毅达股份有限公司（以下简称“公司”）分别于2019年10月17日、2019年11月5日召开第七届董事会第十一次会议、2019年第三次临时股东大会，审议通过了公司支付现金购买江苏开磷瑞阳化工股份有限公司（以下简称“开磷瑞阳”）持有赤峰瑞阳化工有限公司（以下简称“赤峰瑞阳”）100%的股权的相关议案。2019年11月5日，赤峰市元宝山区市场监督管理局出具《核准变更登记通知书》，赤峰瑞阳已完成出资情况变更登记手续，开磷瑞阳已将其持有的赤峰瑞阳100%股权过户至公司名下。公司完成收购赤峰瑞阳，并将失去控制的全资子公司及控股子公司股权处置完毕。公司主营业务转变为精细化工产品的生产与销售，主要产品为季戊四醇、三羟甲基丙烷、酒精、DDGS饲料等。其中季戊四醇为赤峰瑞阳的核心产品，为赤峰瑞阳收入和利润的主要来源。公司专注于核心业务，通过加强管理、降本增效、推动产品升级等措施，增强盈利能力。 | ||||||||||||||||||||||||
