Company Introduction 本公司系欧派有限整体变更设立的股份有限公司。2013年9月14日，欧派有限股东姚良松、姚良柏共同签署《欧派家居集团股份有限公司发起人协议》，同日，欧派有限召开股东会会议，同意将有限公司整体变更为股份有限公司，根据正中珠江出具的广会所审字【2013】第13000130012号《审计报告》审定的截至2013年8月31日母公司的净资产568,173,282.13元，按1：0.5632的比例折合股份总额320,000,000股。2013年9月30日，正中珠江出具了广会所验字【2013】第13000130023号《验资报告》，对上述出资进行了审验。 2013年10月12日，广州市工商行政管理局依法核准欧派有限整体变更为欧派家居集团股份有限公司事项，并核发编号为01113014994的《企业法人营业执照》。公司自1994年成立以来，一直从事整体厨柜业务；2003年起，公司开始经营整体卫浴业务；2005年起，公司开始经营整体衣柜业务；2010年起，公司开始经营定制木门业务。 发行人由欧派有限整体变更设立，改制前原企业的所有资产和业务全部进入了股份公司。公司继承了欧派有限的全部资产和负债。改制前后，公司的主营业务均为整体厨柜、整体衣柜、整体卫浴、定制木门等整体家居产品的个性化定制和设计安装服务，改制前后公司拥有的主要资产和从事的主要业务未发生变化。
