Company Introduction 2013年11月1日，睿能有限召开董事会，决议以截至2013年10月31日经审计的净资产折股整体变更设立股份有限公司，股份有限公司的股份总额为7, 500万股，每股面值1元。截至2013年10月31旧，睿能有限经审计的净资产为167，400，582. 26元，除股本75，000，000元外，其余92，400，582. 26元计入资本公积。2013年12月31日，公司在福建省工商行政管理局办理了工商变更登记手续，并领取了注册号为350100400003092的《企业法人营业执照》。 报告期内， 发行人 主营业务为 以针织横机电脑控制系统的研发、生产和销售 以针织横机电脑控制系统的研发、生产和销售 为主的制造 业务及以 IC 产品分销为主的业务 。 公司秉持研发先行的理念，持续保持较高的研发投入，报告期内公司的主营业务产品针织横机电脑控制系统的市场占有率逐年提高，按中国纺织机械协会的 统计数据算， 该产品2016年的国内市场占有率约63.34%。基于不断的自主研发，公司的技术能力在国内同行中位居前列，公司的“单系统全电脑针织横机控制系统”项目被认定为“国家火炬计划项目”、“纺织机械专用伺服控制系统V2.0”被评为“国家重点新产品”、“睿能横机制版系统/V1.0”被评为“福建省自主创新产品”、“一种电脑横机控制装置、系统及方法”获2016年福州市专利优秀奖。截至2017年3月31日，公司已取得发明专利28项、实用新型专利53项、外观专利13项、计算机软件著作权51项。 2009年迄今，公司持续被认定为“高新技术企业”；2012年，公司被评为“国家火炬计划重点高新技术企业”；2013年，公司被评为“福建省创新型企业”，公司技术中心被认定为“福建省纺织设备智能控制企业工程技术研究中心”；2014年，公司被认定为“福建省软件企业”；2015年，公司被评为“福建省知识产权优势企业”，公司技术中心被认定为“福建省省级企业技术中心”；2016年，公司技术中心被认定为“中国纺织机械行业电脑横机智能控制系统产品研发中心”，公司被评为“福建省科技小巨人领军企业”。 公司IC产品分销业务着重拓展工业控制、消费电子、汽车电子三大IC产品应用领域，以技术支持服务为核心，在IC产品客户的产品概念、开发、样机、小批试制、量产等阶段为客户提供IC应用解决方案和现场技术支持等多层面技术支持服务，协助客户缩短产品开发周期并降低开发成本，加速客户产品的上市。公司通过为IC产品客户提供技术支持服务，从而使所分销的IC产品能被设计应用到客户产品中进而实现IC产品的销售。凭借较强的研发实力、快速的应用方案开发能力和一支具备丰富经验的技术支持团队，公司成为了艾迈斯、英飞凌、力特、微芯科技、PI公司、芯科实验室公司等国际知名IC设计制造商的授权分销商。在下游客户方面，公司核心优质客户数量逐年增多，其中不乏奥克斯、比亚迪、大疆创新、歌尔电子、格兰仕、海尔、海康威视、海信、朗科智能、林洋能源、琦星电子、拓邦股份、先锋电子等国内知名企业。 公司一贯重视产品质量，依据ISO9001：2008标准的要求，建立了从产品开发、原材料采购到生产服务全过程的全面质量管理体系，并通过了ISO9001质量管理体系认证。
