Company Introduction 公司前身步科有限成立于2008年12月9日，注册资本4,000万元，由上海步科电气和自然人马学童分别出资3,980万元、20万元共同设立。根据《上海步科自动化有限公司（筹）章程》的规定，步科有限首期出资800万元，上海步科电气和马学童分别出资796万元和4万元，剩余出资额于公司设立之日起两年内缴付。2008年12月9日，步科有限在上海市工商行政管理局浦东新区分局注册登记并取得了注册号为310115001101665的《企业法人营业执照》。公司系由上海步科自动化有限公司整体变更设立。2012年4月18日，经公司创立大会暨第一次股东大会审议通过，步科有限由其原股东作为发起人，以经天健会计师深圳分所审计的截至2012年2月29日的账面净资产101,740,648.83元为基础折合股本6,300万股（每股面值1元），将净资产超过股本部分38,740,648.83元计入资本公积，整体变更为上海步科自动化股份有限公司。2012年4月16日，天健会计师对公司整体变更设立时的注册资本进行审验并出具了“天健验（2012）3-19号”《验资报告》。2012年5月8日，步科股份在上海市工商行政管理局办理了变更登记手续，取得了注册号为310115001101665的《企业法人营业执照》，注册资本为6,300万元。 公司是一家专注于研发和创新的技术驱动型高新技术企业，主要从事工业自动化设备控制核心部件与工业物联网/互联网软硬件的研发、生产、销售以及相关技术服务，并为客户提供设备自动化控制、数字化工厂及工业互联网解决方案，是国内为数不多的设备自动化与工厂智能化解决方案供应商。公司以智能制造为发展方向，坚持不懈打造自动化设备控制、数字化工厂与SaaS软件构成的“三轮驱动”技术平台，提供聚焦行业的自动化和智能化解决方案。经过多年持续不断的研发和创新，公司拥有从人机交互到控制、驱动和执行等一系列较为完整的拥有自主知识产权的工控产品线，以及数字化工厂与工业互联网产品和解决方案。公司所生产的工业自动化设备控制核心部件和所提供的数字化工厂以及工业互联网解决方案能够有效提高客户的生产和管理效率，并提升客户产品质量和生产自动化、智能化水平。公司主要产品为工业自动化设备控制核心部件、数字化工厂及工业互联网。
