Company Introduction 2001年9月，自然人袁建栋申请设立博瑞基因，注册资本6.1万美元。2001年10月26日，博瑞基因在江苏省苏州工商行政管理局办理了注册登记手续，领取了注册号为企独苏苏总字第010490号《企业法人营业执照》，注册资本6.10万美元，实收资本0美元，企业类型为外商独资经营。2015年8月1日，博瑞有限董事会通过公司整体变更设立股份公司的决议，同意博瑞有限以截至2015年6月30日经江苏公证天业会计师事务所（特殊普通合伙）苏州分所审计的净资产140,281,054.69元为基础，按照1：0.2495的比例折为35,000,000股，整体变更为博瑞生物医药（苏州）股份有限公司。2015年8月1日，袁建栋、钟伟芳等12名博瑞有限股东签署了《发起人协议》，上述12方作为发起人共同发起设立博瑞生物医药（苏州）股份有限公司。2015年8月19日，苏州工业园区管理委员会出具《园区管委会关于同意博瑞生物医药技术（苏州）有限公司变更为外商投资股份有限公司的批复》（苏园管复部委资审〔2015〕61号），同意博瑞生物医药技术（苏州）有限公司整体变更为外商投资股份有限公司，并更名为博瑞生物医药（苏州）股份有限公司。2015年9月11日，公司在江苏省工商行政管理局办理了整体变更工商登记手续。 发行人是一家研发驱动、参与国际竞争的化学制药全产业链产品和技术平台型企业，致力于成为一家全球领先的创新型高端化学制药公司。自设立以来，发行人一直从事高技术壁垒的医药中间体、原料药和制剂产品的研发和生产业务，凭借自身在微生物发酵、高难度药物合成工艺、药物合成原创路线设计、药物新晶型及药物靶向递送等方面积累的技术优势，建立了发酵半合成技术平台、多手性药物技术平台、靶向高分子偶联技术平台和非生物大分子技术平台等核心药物研发技术平台，形成了高技术附加值的医药中间体和原料药销售、药品技术转让以及利用自身技术和产品优势与其它具有品牌或销售渠道优势的医药企业合作开发并获得销售分成等多元化的盈利模式，并进一步向制剂产品领域拓展，逐步建立起原料药与制剂一体，仿制药与创新药结合，国际市场与国内市场并重的业务体系。公司自设立以来主营业务未发生重大变化。报告期内，公司在发酵半合成平台、多手性药物平台上发展出覆盖抗真菌、抗病毒、心脑血管、抗肿瘤等领域一系列产品和技术，形成矩阵式产品和技术布局，并通过医药中间体和原料药的生产销售、参与制剂销售分成以及相关研发技术转让实现商业化运营；公司在靶向高分子偶联平台上发展出的多个原创新药进入或即将进入临床研究，报告期内该技术平台通过创新药临床前研究成果转让实现收入。此外，公司根据国际医药研发趋势和市场情况，布局了非生物类大分子药物制备技术。
